Terms and Conditions 

1. DEFINITIONS

In these general terms and conditions (the General Terms and Conditions), the terms starting with a capital letter listed below shall have the following meaning:

Account means a private account of the Student as created on the Website (https://app.zerocopy.be/create-account).

Advertisement means a communication that promotes a product, service, brand or event placed on the Documents on the instruction of the Student.

Article means an article of these General Terms and Conditions.

Content means all information on the Website, including but not limited to illustrations, photographs, graphics, advertisements, document layout and look and feel, art, text, fonts, and other information of the Website.

Credit means a virtual printing credit which is to be used by the Student to print the Document(s).

Delivery Service means the delivery of the printed Document(s) to the Student, which is possible from the minimum amount of pages to be printed, as indicated on the Website.

Document(s) means the study documents (including but not limited to summaries, notes and PowerPoint presentations) uploaded by the Student on his/her Account.

Force Majeure means any cause beyond the reasonable control of Zerocopy, including by not limited to fire, flood, war, strikes or labor disputes, embargoes, government orders, legal restrictions, pandemics, unavailability of means (such as downtime of telecommunications, network, computers, servers or Internet), cyber-attacks and unauthorized access to Zerocopy’s systems by third parties.

Intellectual Property Rights means any and all intellectual property rights and related rights such as copyrights, trademark rights, patent rights, model rights, rights in trade names and Internet domain names,  database rights and neighbouring rights as well as the rights to know-how, trade secrets and confidential information.

Partner Copyshop means a Zerocopy partner copyshop as designated on the Website.

Printing Service means the facilitation of the printing of the Document(s) by the Student at the Partner Copyshop by logging in on the Zerocopy Website through a computer or printer touchscreen, using his/her password and username, selecting the Document(s) and printing the relevant Document(s).

Services means all the services provided by Zerocopy to the Student, including the use of the Website and his/her Account, the Printing Service and the Delivery Service of Zerocopy.

Student means the natural person who is enrolled at a university or university of applied science (college) and makes use of the Website and Services of Zerocopy within the framework of his/her studies.

Website means the website of Zerocopy: https://zerocopy.be/.

Zerocopy means Zerocopy BV, a Belgian company registered at Kantersteen 10, 1000 Brussel, with VAT number 0846.192.267 (RPR Brussels).

 

2. APPLICABILITY AND INTERPRETATION

  1. These General Terms and Conditions shall apply between Zerocopy and the Student when the Student makes use of the Services as provided by Zerocopy. The applicability of any other terms and conditions is expressly excluded.
  2. By using the Services, the Student agrees to be bound by these General Terms and Conditions. These General Terms and Conditions constitute a legally binding agreement between Zerocopy and the Student. If relevant, any specific Delivery Services or delivery fees will be set forth in the order as requested by the Student through his/her Account on the Website, which is subject to these General Terms and Conditions.
  3. Zerocopy reserves the right to unilaterally modify these General Terms and Conditions at any time. In the event of an amendment or addition that significantly affects the rights or obligations of the Student, Zerocopy will bring these changes to the Student’s attention through the Website.
  4. In the event the Student continues the use of the Website after the amendment of the General Terms and Conditions, the Student is deemed to irrevocably accept the amended General Terms and Conditions. If the Student does not agree with the amended General Terms and Conditions, the Student can cease his/her use of the Website and terminate his/her Account.

 

3. AVAILABILITY OF THE WEBSITE AND ACCOUNT

  1. The Student accepts and agrees that the Website and the Account are provided "as is" and without any representations, warranties or conditions of any kind, whether express or implied, such as but not limited to warranties of title, non-infringement, merchantability, fitness for a particular purpose, performance, durability, availability, accuracy or completeness, all of which are disclaimed by Zerocopy and its directors, affiliates, subsidiaries, contractors, agents, representatives and employees and providers to the greatest extent permitted by applicable law.
  2. The Student accepts and agrees that the functionalities of the Website and/or the Account may change over time and that Zerocopy is entitled to change, alter or shut down the Website and/or the Account without being liable to the Student in any way.

 

4. USE OF THE WEBSITE AND THE ACCOUNT

  1. The Student agrees to use the Website and his/her Account in a responsible and diligent manner and in compliance with these General Terms and Conditions and the applicable laws and regulations.
  2. In order to make use of the Printing Service and Delivery Service, the Student shall create and confirm his/her Account on the Website. The Student is responsible for the confidentiality of his/her login details and shall take all necessary measures to prevent access to his/her Account by third parties. The Student shall be responsible for all actions taken through his/her Account.
  3. The Student is only permitted to access and use the Account for the exclusive purpose of uploading and printing Documents and using the Services of Zerocopy in the framework of his/her studies. Each Document shall only be printed once.
  4. The Student shall not upload any Documents on his/her Account that may be deemed to be offensive, unlawful, harassing, defamatory, threatening, harmful, obscene, malicious or contrary to applicable law.
  5. The Student is solely responsible for the content of the Documents uploaded on his/her Account. The Student shall not take any action in relation to the Documents without permission of the rightholder(s) for which permission is due.
  6. The Student represents and warrants that:

    6.1 the Documents shall not infringe the rights of any third party, including Intellectual Property Rights;

    6.2 the Documents shall not be deemed to defame or harm the integrity, honor or reputation of any third party;

    6.3 the Documents shall not violate applicable laws or these General Terms and Conditions; and

    6.4 the Student shall have the necessary rights and permission to use and print third party material included in the Documents, if any.

  7. The Documents uploaded on the Account will be saved on the Account for a period as indicated on the Website and will not be shared with any third party. The Student agrees and acknowledges that after this period the Documents will be deleted automatically. 
  8. Zerocopy reserves the right, at its sole discretion, to refuse or remove the upload of a Document by the Student at any time and to terminate the Account, in accordance with Article 9, if the Student is using the Services for unlawful activities or otherwise violates the General Terms and Conditions. The Student agrees that Zerocopy shall not be held liable in any way with respect to the upload of a Document or the termination of an Account.

 

5. SERVICES

  1. The Student can make use of the Services by utilizing the Credits available in his/her Account. Upon creation of the Account, the Student will automatically receive an amount of Credits and every week the Credits of the Student will be supplemented, as indicated on the Website. Other mechanisms to receive additional Credits may be made available on the Account at the sole discretion of Zerocopy. For each Credit the Student can print one (1) page of a Document.
  2. When making use of the Services, the Student grants Zerocopy the right to reproduce, copy and print the Documents and to add Advertisement(s), which shall always be deemed to be performed upon instruction, in the name and on behalf of  the Student, at the bottom of a page and/or covering a full page.
  3. The Student agrees that any reproduction of the Documents shall only be made for the Student’s own personal use. The Student will not to use the Documents, directly or indirectly, for any commercial purpose nor provide or disclose it to any third party.
  4. The Student is solely responsible for the Documents as uploaded or printed through his/her Account. The Student agrees that Zerocopy shall never be held liable in any way for the Services performed upon instruction, at the request, in the name or on behalf of the Student.
  5. Right of withdrawal

The right of withdrawal (or cancellation) of consumers who enter into a sales agreement at a distance, allowing them to withdraw from (or cancel) a contract within fourteen (14) days from the conclusion of such agreement without giving any valid reason or incurring any costs, does not apply to the agreement between the Student and Zerocopy for the performance of Delivery Services, since the Documents are clearly intended for a specific person (the Student) or made to his/her specifications. The Student acknowledges and agrees that Zerocopy starts the provision of the Delivery Service immediately following the order by the Student and therefore, the delivery can no longer be canceled once an order for Delivery Service is placed by the Student.

 

6. INTELLECTUAL PROPERTY RIGHTS

  1. The Website, the Content (except for the Documents) and all Intellectual Property Rights vested therein are the exclusive property of Zerocopy and/or its licensors. The Student shall refrain from activities that infringe the Intellectual Property Rights of Zerocopy, its licensors or any third party, and shall not retain, copy, reproduce, distribute, publish, reverse engineer, modify or use any portion of the Website and/or the Content, except if expressly permitted.
  2. Zerocopy reserves the right to extend, delete, or modify any part of the Website and Content at any time without notice to the Student.
  3. All comments, suggestions, proposals or other feedback provided by the Student to Zerocopy relating to the Website, Account and Services shall become the exclusive property of Zerocopy. By submitting such information to Zerocopy, the Student agrees to transfer and assign all rights, title and interest in such information, including Intellectual Property Rights, free of charge. The Student agrees that Zerocopy shall be free to use such information without any restriction.
  4. The Documents uploaded by the Student on his/her Account shall remain the sole and exclusive property of the Student.

 

7. LIABILITY AND INDEMNIFICATION

Limitation of Liability

To the greatest extent permitted by applicable law, Zerocopy nor its directors, affiliates, subsidiaries, contractors, agents, representatives or employees or providers will under any circumstances (unless in case of gross negligence, willful misconduct or fraud) be liable to the Student or any other person for any special, incidental, indirect or consequential, exemplary or punitive damages or losses, whether in contract, tort, negligence, strict liability, or under any other theory of law or equity, arising from or relating to the use of the Website and the Documents uploaded by the Student or any other person, and regardless of whether Zerocopy or its directors, affiliates, subsidiaries, contractors, agents, representatives or employees or providers have been advised of the possibility of such damages or losses being incurred by the Student or any other person.

Indemnification

The Student shall indemnify and hold Zerocopy, and their directors, officers, agents and employees, harmless from any and all claims, liability, damages, losses, costs and expenses, (including reasonable legal fees) arising out of or related to (i) the Student’s breach of these General Terms and Conditions or use of the Services or (ii) any lawsuit, claim or demand arising out of or related to any Document.

 

8. PRIVACY AND USE OF COOKIES

The Privacy Policy of Zerocopy (https://zerocopy.be/privacy/) is an integral part of these Terms and Conditions. In this Privacy Policy, Zerocopy describes how it collects, uses, discloses, stores and protects the personal data as provided by the Student to Zerocopy during the use of the Website and the Services, as well as which cookies are used on its Website and how you can disable them.

 

9. TERM AND TERMINATION

  1. Zerocopy may restrict, suspend or terminate with immediate effect (in whole or in part) the Account and/or remove any Document(s) the Student may have uploaded to the Account, without any notice, compensation or liability to the Student or any other person when Zercopy believes or has reasonable grounds to suspect that the Student is violating these General Terms and Conditions.
  2. Zerocopy may at its sole discretion, at any time, change, suspend or terminate, temporarily or permanently, the Website or any part or functionalities thereof, without any notice, compensation or liability to the Student or any other person.
  3. The Student can cease his/her use of the Website and terminate his/her Account at any time. In case the Student wishes to delete his/her Account, the Student can do so by sending an e-mail to gdpr@zerocopy.be with subject line "delete account".

 

10. ETHICAL ADVERTISING

Zerocopy adheres to the recommendations of the Communicatie Centrum/Centre de la Communication and the decisions of the JEP (Jury for Ethical Practices in advertising) regarding ethical communication (https://www.jep.be/). Should you have questions or feedback about certain advertising, feel free to reach out via gdpr@zerocopy.be.

 

11. MISCELLANEOUS

  1. Force Majeure. Zerocopy will not be liable for any failure or delay in the performance of its obligations with respect to the Services if such delay or failure is due to Force Majeure.
  2. Severability. If a court or competent jurisdiction determines any provision, or any portion thereof, of these General Terms and Conditions to be unenforceable or invalid, then such provision shall be deemed limited to the extent that such court deems it valid or enforceable and the remaining (parts of) provisions of the General Terms and Conditions shall nevertheless remain in full force and effect.
  3. Waiver. Any failure to enforce any provision of these General Terms and Conditions will not constitute a waiver thereof or of any other provision.
  4. Assignment. Zerocopy will be free to (i) transfer or assign (part of) its obligations or rights under these General Terms and Conditions and (ii) to subcontract performance or support of the performance of its obligations and rights under these General Terms and Conditions, to individual contractors and to third party service providers without prior notice to the Student.
  5. Notices. All notices from Zerocopy intended for receipt by the Student will be deemed delivered and effective when sent to the e-mail address provided by the Student on his/her Account.
  6. Applicable law and jurisdiction. These General Terms and Conditions will be exclusively governed by and construed in accordance with the laws of Belgium, without giving effect to any conflict of law principles or rules. Any dispute with respect to the validity and/or interpretation of these General Terms and Conditions will be finally settled by the competent courts of Brussels.
